1. Scope
(1) These Terms and Conditions (“T&Cs”) govern the use of the website maconsim.com and the purchase of products via this website.
(2) The offer is directed exclusively at businesses, public institutions, and legal entities acting in the course of their professional or institutional activities. The product is not offered to consumers.
(3) The use of the software we offer is governed exclusively by the terms of the End User License Agreement (EULA). In the event of any conflict between these Terms and Conditions and the EULA, the provisions of the EULA shall prevail.
2. Order Process and Contracting Party
(1) Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all orders.
(2) The purchase contract for paid products is concluded exclusively between the customer and Paddle. Paddle is responsible for:
- order and payment processing,
- invoicing,
- collection and remittance of applicable taxes,
- handling of refunds, and
- support for billing-related inquiries.
(3) MaConSim GmbH is not the seller of the products purchased through Paddle, but rather the provider of the software and related services (e.g., updates and technical support in accordance with the EULA).
(4) By completing a purchase, the customer accepts both Paddle’s Terms of Use and the EULA of MaConSim GmbH.
3. Description of Services
(1) The presentation of products on the website does not constitute a legally binding offer but an invitation to submit an offer.
(2) The key features of the software are set forth in the product description on the website and in the EULA.
4. Use of the Website
(1) The content of this website is provided for informational purposes and to facilitate business relationships.
(2) Users agree not to misuse the website, in particular not to:
- distribute malicious software,
- engage in automated data collection (e.g., scraping),
- interfere with the availability or security of the website.
5. Intellectual Property
(1) All content on this website (including but not limited to text, software, logos, and graphics) is protected by intellectual property rights and is owned by MaConSim GmbH or its licensors.
(2) Unless expressly permitted by law, no content may be reproduced, distributed, or otherwise used without prior written consent.
(3) Rights to use the software are granted exclusively in accordance with the EULA.
6. Liability
(1) MaConSim GmbH’s liability regarding the use of the software is governed exclusively by the terms of the EULA.
(2) With respect to the use of the website, MaConSim GmbH shall only be liable:
- in cases of intent or gross negligence,
- for injury to life, body, or health,
- for the breach of essential contractual obligations (cardinal obligations), in which case liability shall be limited to the foreseeable, typically occurring damage.
(3) Any further liability is excluded to the extent permitted by applicable law.
7. Website Availability
(1) MaConSim GmbH endeavors to ensure high availability of the website but does not guarantee uninterrupted access.
(2) Maintenance, further development, or technical issues may result in temporary limitations.
8. Third-Party Links
(1) This website may contain links to external third-party websites.
(2) MaConSim GmbH has no control over and assumes no responsibility for the content of such external websites. The respective terms of the third-party providers shall apply.
9. Data Protection
Information regarding the processing of personal data is contained in the Privacy Policy of MaConSim GmbH.
10. Amendments
(1) MaConSim GmbH reserves the right to amend these T&Cs with effect for the future.
(2) The current version is available on the website.
11. Governing Law and Jurisdiction
(1) These T&Cs shall be governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
(2) The exclusive place of jurisdiction for all disputes arising out of or in connection with these T&Cs shall be Cologne, Germany, provided the customer is a merchant, a legal entity under public law, or a special fund under public law.
12. Complaint Handling for Business Customers
(1) You may submit complaints regarding our products or services by email to contact@maconsim.com or in writing to our mailing address (MaConSim GmbH, Kaiserswerther Str. 11, 50739 Cologne, Germany).
(2) We will confirm receipt of your complaint within 2 business days and typically process it within 10 business days. In more complex cases, we will keep you informed of the status of the matter.
(3) If your complaint is not resolved to your satisfaction, you may contact an appropriate arbitration body or an alternative dispute resolution procedure. We are generally willing to participate in such a procedure.
13. Final Provisions
(1) Should any provision of these T&Cs be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
(2) These Terms and Conditions are originally drafted in German. Any English version is provided for convenience only. In case of discrepancies, the German version shall prevail.
